1.1. These terms and conditions apply for the sale of goods from the Intility Webshop to customers of Intility AS. The Operational Services Agreement between Intility and the Customer complement these terms and shall prevail in case of discrepancy.
1.2. The terms and conditions are subject to change without notice, from time to time in our sole discretion.
2. Prices and fees
2.1. The current list prices are listed under each item in the Intility Webshop, as applicable from time to time. Intility is entitled to make changes to the list prices, subject to price changes from suppliers. Any special rates or discounts must be agreed upon in writing.
2.2. VAT will be added to all prices and fees.
2.3. Intility cooperates with several distributors to ensure an extensive and stable HW assortment. If we have to purchase products from several distributors due to product availability, shipping is do to a minimum of 150NOK per distributor. The shipping cost will also vary depending on weight, number of parcels, shipping address and shipping option. For express delivery additional fee will apply. Intility strives to minimize the number of distributors that must be used for each purchase order.
2.4. There will be no additional fees unless otherwise agreed.
2.5. All PCs on the Intility IT-platform must be enrolled in the Intility domain. Domain enrolment requires deployment of operating system and software (basic and business applications). These deployment costs are charged according to the terms in the Operational Services Agreement between Intility and customer.
Unless otherwise agreed, invoices shall be paid within fifteen (15) days from the invoice date. As a standard, Intility practices semi-monthly invoicing.
4. Sales liens Right of ownership
4.1. Intility reserves the right to claim sales liens in products which are not intended for resale, cf. the Mortgage Act § 3-14 et seq.
5. Processing and delivery of orders
5.1. Orders of products available in the Intility Webshop are processed immediately during normal working hours. Once we have received your order, we will review and execute your order.
5.2. Normal delivery time is one to four business days, depending on distributor and delivery address. Should the product require setup or installation by Intility cf. clause 2.5, this time will come in addition to the normal delivery time. In case of delay, Intility will notify you as soon as we have more information about the delay. If possible, we will provide information about estimated delivery time or if the product(s) is out of stock. If the product(s) is sold out from Intility or the distributor, we will provide advice and guidance regarding alternative products.
5.3. In cases where delays or other circumstances makes it difficult to deliver the ordered goods in one shipment, together, the order will be split and delivered consecutively. In such situations, delivery costs will be incurred for each shipment.
5.4. Unless otherwise agreed, we normally ship our deliveries by courier within Oslo, and by other suitable carriers outside of Oslo. We will, as far as possible, strive to meet the prespecified delivery instructions for the order. If we are unable to meet your instructions, we will notify you before the order is executed.
5.5. The risk of damage is transferred to the customer when the goods are handed over to the first or main courier/carrier. This is considered as delivery.
6. Information on shipping abroad
6.1. All goods must be handled by Norwegian customs before delivery to customers located abroad. This may increase the delivery time and the shipping costs.
7. Stock status
7.1. The stock status is automatically updated in the Intility Webshop every 24 hours. Products that are not in stock at the point of order are specified in the Intility Webshop. Intility Webshop also states when the product is awaited back in stock. Deviations in stock status may occur. Please reach out to us if the stock status of a given product is low or “out of stock” so that we may examine the actual storage status.
8. Cancellation and Returns
8.1. Cancellation of orders must be done by phone to Intility + 47 24 10 33 07, or by e-mail to firstname.lastname@example.org.
8.2. Please note that return/cancellation fees may apply if the distributor has already shipped the goods. Such fees vary between 10 and 25 % of product value, depending on the return policy of the distributor. Shipping costs related to the return of goods will also be charged to the customer.
To increase the chances of a distributor accepting the return of goods, the packaging/seals must be intact so that the goods can be re-traded. Custom orders and goods “Built to Order” may not be returned.
9. Notification of claims. Warranty.
9.1. We recommend that you examine the goods upon delivery and make sure that the delivery is in accordance with the order confirmation, and whether the goods have been damaged during the transport and whether the goods have other defects or damages. In case of damages to the product or packaging, these should be documented with photos. If you find any discrepancies between orders, order confirmation and/or that the goods have other errors or defects, Intility must be notified as soon as possible and without undue delay. All claims must be made in writing and sent to email@example.com.
9.2. The warranties of the manufacturers’ are applicable at all times. The warranty terms vary from manufacturer to manufacturer. The applicable terms are specified either in the product information, accompanying information or on the manufacturer's website. Reach out to Intility if you are in doubt about remaining warranties or the warranty terms for a product bought through us.
9.3. In case of material or production defects, the product will be repaired or replaced by the manufacturer or their service partner. Intility provides no independent warranty on products but retains the right to troubleshoot returned goods/equipment. Any troubleshooting will not affect the manufacturer's warranty for the given product.
9.4. Please note that Intility will not provide replacement products during the processing of warranty cases.
9.5. The warranty of the manufacturers does normally not cover:
· Errors caused by abnormal use or external influence.
· Cost of incorrect assembly/disassembly of goods.
· Repair costs at workshops that are not approved by the manufacturer.
· Travel expenses and shipping costs.
· Consequential damages caused by the defective item.
· Wear parts and consumables such as mouse, mouse pads, ink cartridges, keyboards, etc.
· Business loss as a direct result of a defective item.
10. Liability. Product liability
10.1. Intility disclaims any for direct or indirect financial loss due to defective goods or delayed delivery. This does not apply, however, in cases where Intility has deliberately or grossly negligently caused the breach. In such cases, the liability shall be limited to the invoice value of the defective/delayed goods.
10.2. Intility shall not be liable for loss or other damage caused by the customer or third parties.
10.3. If a product purchased in the Intility Webshop causes damage to a person or property, and the damage is caused because the product does not offer the safety which a user or the public could reasonably expect (“safety deficiency”), Intility shall be liable for damages according to the Product Liability act (Act no. 104 of 23 December 1988 relating to Product Liability). extent that such liability follows from “lov 23. Desember 1988 nr. 104 om produktansvar”/product liability. Intility is not liable for other consequential damages.
11. Force Majeure
11.1.If the parties are prevented or obstructed from fulfilling their undertakings pursuant to this purchase agreement by circumstances which according to Norwegian law would be judged as Force Majeure, this shall constitute grounds for suspending the parties’ obligations with regards to delays and consequences, for as long as the force majeure-situation exist.
11.2.Either party may however terminate the agreement with one (1) month`s written notice if the force majeure situation makes it particularly burdensome for the party to maintain the purchase agreement.
12. Privacy and Information Security
12.1. To safeguard the privacy of our customers, Intility continuously work with our internal control and information security management system. This is performed through risk assessments of our systems and infrastructure, evaluation of existing controls, documentation of data processing activities and audits of third-party providers. All assurance documentation is comprised and made available to customers in the form of a comprehensive ISAE 3402 Type II attestation report and an ISAE 3000 Type II attestation report. 13. Disputes and applicable law
13.1. These terms and conditions are subject to Norwegian law. The parties shall seek to resolve any disputes in relation to these terms and conditions amicably. Should the parties be unable to agree within the framework of such negotiations, either party may bring the dispute before the ordinary courts for final settlement. Oslo District Court shall be the venue.
